Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you ("you", "User") and Cyrus David Pastelero, an individual sole proprietor based in the Philippines ("we", "us", "Miming"), governing your use of the Miming website, app, and services at https://social-media-content-pi.vercel.app (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Definitions

  • Brief / Input — information you submit (niche, audience, goals, pasted material) for generation.
  • Output — brand books, sections, posts, and other content the Service generates from your Input.
  • Subscription — a paid plan (e.g., Pro, Studio) with associated quotas.

3. Eligibility

You must be at least 18 years old and able to form a binding contract. By using the Service you represent that you meet these requirements.

4. Accounts

You are responsible for the information you provide, for safeguarding your login credentials, and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

5. The Service & license

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own creator/brand purposes. Some features are labeled "Soon" / early access and may change, be delayed, or be withdrawn (see §15).

6. Subscriptions, billing, and payments

  • Merchant of Record. Paid Subscriptions are sold and processed by our payment provider, Lemon Squeezy, acting as Merchant of Record. Your purchase is also subject to Lemon Squeezy's terms. Lemon Squeezy handles payment, invoicing, and applicable taxes (VAT/sales tax).
  • Plans & quotas. Each plan includes monthly quotas (e.g., number of brand books, regenerations, posts). Usage beyond your quota may be blocked until the next period or until you upgrade. Quotas and prices are described at checkout and on our pricing page.
  • Auto-renewal. Subscriptions renew automatically for the same period until cancelled. You can cancel anytime via the customer portal; cancellation takes effect at the end of the current paid period.
  • Price changes. We may change prices or plan features prospectively; we will give reasonable notice, and changes apply from your next renewal.
  • Refunds. Except where required by law, fees are non-refundable. Refund requests are handled in accordance with the Merchant of Record's policy.
  • Fair use / abuse. You may not attempt to exceed, evade, or automate around quotas, share accounts to multiply quota, or use the Service in a way that imposes unreasonable load.

7. AI-generated content

  • Nature of Output. Output is generated by automated AI models and may be inaccurate, incomplete, generic, or unsuitable. It is provided to assist you, not to replace your judgment. You are responsible for reviewing, editing, and approving all Output before you use or publish it.
  • No professional advice. Output is not legal, financial, medical, marketing-compliance, or other professional advice.
  • Ownership. As between you and us, you retain rights to your Input, and we assign to you whatever rights we have in the Output generated for you, so you may use it for your brand. We do not warrant that Output is original or non-infringing, and similar Output may be generated for others; you are responsible for confirming your use of Output is lawful and does not infringe third-party rights.
  • No training on your content. We do not use your Input or Output to train AI models for unrelated purposes (see Privacy Policy §5).

8. Acceptable use

You agree not to:

  • use the Service for anything unlawful, infringing, deceptive, hateful, harassing, or harmful;
  • generate spam, malware, disinformation, or content that violates platform or third-party rules;
  • attempt to reverse-engineer, scrape, overload, disrupt, or gain unauthorized access to the Service or other tenants' data;
  • attempt prompt-injection or other circumvention of the Service's safeguards or quotas;
  • resell, sublicense, or provide the Service to third parties except as expressly allowed.

We may suspend or terminate access for violations.

9. Your content & license to operate

You represent that you have the rights to the Input you submit. You grant us a limited, worldwide, non-exclusive license to host, store, process, and transmit your Input and Output solely to operate and provide the Service (including sending Input to our AI sub-processor to generate results). This license ends when you delete the content or close your account, except for backups/records we must retain by law.

10. Our intellectual property

The Service, including its software, design, branding, and content (excluding your Input/Output), is owned by us or our licensors and protected by law. These Terms grant you no rights to our trademarks or to copy the Service.

11. Third-party services

The Service relies on third parties (e.g., Vercel, Supabase, Anthropic, Lemon Squeezy). We are not responsible for third-party services, and your use of them may be subject to their terms.

12. Disclaimers

THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 3 MONTHS BEFORE THE CLAIM OR USD $50. Some jurisdictions do not allow certain limitations; in that case the limitations apply to the extent permitted.

14. Indemnification

You will indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your Input, your Output, your use of the Service, or your violation of these Terms or applicable law.

15. Early access & changes to the Service

Features may be in beta or labeled "Soon." We may add, change, suspend, or discontinue features at any time. We are not liable for any modification or discontinuation of the Service.

16. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, suspected abuse, legal requirement, or discontinuation of the Service. On termination, your right to use the Service ends; sections that by nature should survive (e.g., 7, 9–14, 17) survive.

17. Changes to these Terms

We may update these Terms. We will post the new "Last updated" date and, for material changes, give reasonable notice. Continued use after changes means you accept them.

18. Governing law & disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the competent courts of the Philippines for any dispute, subject to any mandatory consumer-protection rights you have where you live.
